Terms of Service

Terms of Service for Site Sprout.

Effective date: July 1, 2026

These Terms of Service describe how Site Sprout provides lead capture, follow-up support, landing pages, booking and form setup, backend automation, and growth consulting for local businesses. By using this website, submitting a lead system check request, approving a quote, paying an invoice, or using our services, you agree to these Terms.

1. Who We Are

Site Sprout provides websites, lead capture, follow-up, and backend support for local businesses. References to "Site Sprout," "we," "us," and "our" mean the Site Sprout business. References to "you," "your," or "client" mean the person or business using our website or services.

2. Services

Services may include lead system checks, offer strategy, landing pages, website edits, contact forms, quote request forms, booking links, lead routing, email or text follow-up, lead qualification workflows, spreadsheet or CRM connections, backend automation, analytics setup, paid ad or outreach setup, reporting, and growth optimization. The exact services, deliverables, timeline, and price for a project will be listed in a written quote, invoice, proposal, message, or other written agreement.

3. Quotes and Project Scope

A quote or estimate is based on the information available at the time it is prepared. If the requested work changes, if new issues are discovered, or if extra features are requested, the price and timeline may change. We will let you know before doing additional paid work.

4. Payments

Payment terms will be provided before work begins. We may require a deposit, partial payment, full upfront payment, milestone payment, or recurring monthly payment depending on the project. Work may be paused, delayed, or withheld if invoices are not paid on time.

5. Monthly Growth Plans

Monthly growth plans may include campaign management, offer testing, landing page updates, follow-up improvements, reporting, support, and other services listed in the plan. Monthly plans do not include paid ad spend, third-party subscription fees, large feature builds, emergency recovery, or unrelated marketing services unless we agree to that in writing. Either side may cancel a monthly plan with written notice before the next billing period.

6. Client Responsibilities

You are responsible for providing accurate business information, website access, domain access, hosting access, account access, images, written content, approvals, and feedback needed to complete the work. You are also responsible for making sure you have the right to use any text, images, logos, reviews, videos, offers, trademarks, or other materials you provide to us.

7. Account Access and Security

Some services require access to accounts such as domain registrars, website builders, hosting platforms, Google accounts, ad accounts, booking tools, email tools, CRM systems, spreadsheets, AI tools, or automation tools. You are responsible for maintaining ownership of your accounts and for keeping your login credentials secure. We may ask you to use secure sharing methods instead of sending passwords directly.

8. Content and Materials

You keep ownership of the content and materials you provide to us. You give Site Sprout permission to use those materials as needed to provide the services. We may edit, resize, format, or organize your materials to fit the project.

9. Ownership of Final Work

After final payment is received, you own the final custom content and final custom deliverables created specifically for your project, except for third-party software, templates, fonts, plugins, stock assets, platform code, open-source tools, or pre-existing materials that are governed by their own licenses. Site Sprout keeps ownership of our internal processes, reusable systems, templates, know-how, and tools.

10. Revisions and Change Requests

Reasonable revisions are included when they fit the agreed project scope. Requests for new pages, new features, new designs, major copy changes, new integrations, rushed work, or changes outside the agreed scope may require an additional quote.

11. Timelines and Delays

We will make reasonable efforts to meet agreed timelines. Timelines may change if you delay approvals, delay payments, delay access, change the project scope, or if a third-party service causes an issue. Site Sprout is not responsible for delays caused by missing client materials, third-party outages, platform issues, or circumstances outside our reasonable control.

12. Launch and Approval

Before launch or final delivery, you are responsible for reviewing the work and requesting any needed corrections. Once you approve the work or the work is launched, it is considered accepted unless there is a clear technical issue caused by Site Sprout within the agreed scope.

13. Third-Party Tools and Fees

Projects may rely on third-party services such as domain providers, hosting platforms, website builders, Google services, Meta services, ad platforms, AI tools, booking tools, phone systems, email tools, email platforms, CRM tools, Zapier, Make, Microsoft products, analytics tools, payment processors, or plugins. You are responsible for any third-party subscription fees, renewal fees, ad spend, account fees, or usage charges unless we agree otherwise in writing. Site Sprout is not responsible for third-party outages, pricing changes, policy changes, data loss, account restrictions, ad disapprovals, or service interruptions.

14. Cancellations and Refunds

If you cancel a project after work has started, you may still be responsible for work already completed, time already spent, purchased assets, third-party costs, and any non-refundable deposits. Refunds, if any, are handled case by case and depend on the work completed and the payment terms for the project.

15. Portfolio and Marketing Use

We may ask for permission to display completed work, business names, screenshots, or project summaries in our portfolio or marketing materials. We will not share private login credentials, private customer lists, or confidential business information.

16. Acceptable Use

You agree not to use our website or services for unlawful, harmful, abusive, deceptive, infringing, spam-related, or security-breaking activity. We may refuse or stop work if a project involves illegal content, misleading claims, harassment, malware, scams, or content that violates another person's rights.

17. Privacy and Communications

When you submit a form or contact Site Sprout, we may collect the information you provide, such as your name, business name, website, email address, phone number, project details, and message. We use that information to respond to your request, provide services, manage leads, and communicate with you about Site Sprout. If you provide a phone number or email address, you agree that we may contact you about your request. Standard carrier or provider rates may apply.

By providing your phone number, you consent to receive calls or text messages related to your request or services. Message and data rates may apply. You can opt out of text messages by replying STOP.

18. No Guaranteed Results

Site Sprout works to improve lead capture, lead quality, booking flow, follow-up, lead tracking, and growth systems. We do not guarantee specific ad performance, search rankings, traffic, calls, leads, bookings, sales, revenue, conversion rates, or business results.

19. Website Information

Information on this website is provided for general informational purposes. Pricing, packages, examples, timelines, and service details may change. A project is not confirmed until we agree to the scope and payment terms in writing.

20. Disclaimer of Warranties

To the fullest extent allowed by law, our website and services are provided "as is" and "as available." We make reasonable efforts to provide reliable work, but we do not promise that the website, services, integrations, forms, automations, or third-party tools will be error-free, uninterrupted, or available at all times.

21. Limitation of Liability

To the fullest extent allowed by law, Site Sprout is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages related to this website or our services. Our total liability for any claim related to a paid project will not exceed the amount you paid to Site Sprout for the specific service that gave rise to the claim.

22. Indemnification

You agree to defend, indemnify, and hold Site Sprout harmless from claims, damages, losses, liabilities, and expenses arising from your business, your materials, your instructions, your misuse of the services, your violation of these Terms, or your violation of another person's rights.

23. Ending Services

We may pause or end services if invoices are unpaid, required access is not provided, communication stops, the project scope becomes unsafe or unlawful, or these Terms are violated. You may stop using our services at any time, subject to any payment obligations for work already completed or agreed recurring services.

24. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be handled in a state or federal court located in California, unless another location is required by law.

25. Updates to These Terms

Site Sprout may update these Terms from time to time. The latest version will be posted on this page with the effective date above. Continued use of our website or services after changes are posted means you accept the updated Terms.
